AI Product Terms

The Glasshouse AI Product Terms ("AI Product Terms") to our Terms of Service (made available at /legal/terms), Enterprise Terms and Conditions (made available at /legal/enterprise-terms), or any other agreement you ("Customer" or "you") have entered with Glasshouse Inc. ("Glasshouse", "we", or "us") governing the provision of Glasshouse's cloud-based platform or software services to you (collectively, the "Terms") form a part of the Terms. The AI Product Terms are effective as of the date you first access and use the AI Products and Services ("Effective Date") and apply to your use of Glasshouse's AI Products and Services (as defined below).
By accepting the AI Product Terms, providing Customer Content to any AI Products and Services, or using any AI Products and Services, you agree to be bound by the AI Product Terms. Except as set forth below, the AI Products and Services are "Services" under the Terms and all other terms and conditions of the Terms are incorporated by reference and will remain in full force and effect. If any AI Product Terms conflict with the Terms, the conflicting AI Product Terms will control with respect to the AI Products and Services and Customer Content. The AI Product Terms supersede all other understandings or agreements between you and Glasshouse regarding the AI Products and Services.
IF YOU ARE ENTERING INTO THESE AI PRODUCT TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THE ENTITY TO THESE TERMS, IN WHICH CASE "CUSTOMER" OR "YOU" (WHETHER OR NOT CAPITALIZED) MEANS THE ENTITY YOU REPRESENT. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THE AI PRODUCT TERMS YOU SHOULD NOT ACCEPT THE AI PRODUCT TERMS AND MAY NOT USE GLASSHOUSE'S AI PRODUCTS AND SERVICES.
1. Definitions
"AI Products and Services" means the suite of AI products and services with artificial intelligence capability, offered by Glasshouse, including AI Search (available atglasshouse.sh/ai-search) and the Glasshouse API (available at glasshouse.sh/api), along with any associated features, documentation ("Documentation"), software applications, associated APIs, and websites.
"Authorized User" means any employee, contractor, or other personnel associated with Customer's organization (if applicable) who has been authorized to use the AI Products and Services in accordance with these Terms. "You" and "Customer" as used in these Terms also includes your "Authorized Users," if any.
"Customer Content" means Input(s) and Output(s).
"Input" means queries, prompts, data, attachments, or other information that you provide or make available to the AI Products and Services.
"Non-Glasshouse Services" means products, services, tools, or software functionality that interoperates with a Service, that is provided by you, other Glasshouse users, or any third party, including but not limited to, integrations or connectable accounts available through Marketplace, third-party AI providers available through AI Gateway, community templates, and content, products or software that are otherwise obtained or provided by a person or entity other than Glasshouse.
"Output" means the data, content, and other information (including source code, text, or images) that you receive from the AI Products and Services based on your Input.
"Stealth Model" means an AI model that has not yet been generally released to the public by the model provider and is made available by Glasshouse for test purposes only. Such models shall be labeled "stealth," "secret," "pre-release" or other similar designation.
2. License Grant
Glasshouse grants Customer a non-exclusive, non-transferable, limited license (without the right to sublicense), solely for the Term, to (a) access and use the AI Products and Services; and (b) use any associated Documentation in connection with authorized uses of the AI Products and Services, in all cases of (a)-(b), solely for Customer's personal or internal business use purposes.
3. Permissions and Restrictions
You must be at least 13 years old (or if you are located outside of the United States, the minimum age required in your country to consent that age) to use the AI Products and Services. If you are under 18, you must have your parent or legal guardian's permission to use the AI Products and Services.
Your use of the AI Products and Services will be associated with your Glasshouse account. You must maintain a valid and active Glasshouse account in good standing during the Term.
Your use of the AI Products and Services remains subject to the Terms and must comply with Glasshouse's Acceptable Use Policy. You are responsible for (a) each of your Authorized Users' compliance with the AI Product Terms, (b) Input, (c) any activities that occur under your account, and (d) use of Outputs.
4. Security
You must promptly notify Glasshouse if you believe or know that the account you use to access the AI Products and Services has been compromised, or if you are subject to an insecurity, malware or malicious activity that may negatively impact the AI Products and Services. You must ensure that only Authorized Users are granted access to the AI Products and Services and are responsible for the security of the environment in which you use the AI Products and Services, including the transmission and protection of Customer Content in your own environment.
5. Disclaimer of Warranty
The AI Products and Services and Output may be incomplete and contain errors or inaccuracies that could cause failures, corruption, and/or loss of data or information. GLASSHOUSE, ITS AI PROVIDERS, AND ITS LICENSORS PROVIDE THE AI PRODUCTS AND SERVICES AND OUTPUT ON AN "AS IS," "AS AVAILABLE" AND "WHERE-AS" BASIS. GLASSHOUSE, ITS AI PROVIDERS, AND LICENSORS DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE AI PRODUCTS AND SERVICES, OUTPUT, THEIR PERFORMANCE, ACCURACY, SECURITY, APPROPRIATENESS FOR YOUR USE, OR THEIR NON-INFRINGEMENT OF THIRD- PARTY RIGHTS (INCLUDING COPYRIGHT, TRADEMARK, RIGHTS OF PRIVACY AND PUBLICITY, AND DEFAMATION), WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND GLASSHOUSE AND ITS LICENSORS EXPRESSLY DISCLAIM ALL OTHER WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARISING FROM STATUTE, COURSE OF DEALING OR PERFORMANCE OR TRADE USE, AND QUIET ENJOYMENT. FOR CLARITY NO REPRESENTATIONS OR WARRANTIES IN THE TERMS, NOR GLASSHOUSE'S SERVICE LEVEL AGREEMENT, APPLIES TO THE AI PRODUCTS AND SERVICES, INPUT, OR OUTPUT. REFERENCES TO A THIRD PARTY IN THE OUTPUT MAY NOT MEAN THEY ENDORSE OR ARE OTHERWISE WORKING WITH GLASSHOUSE.
6. Intellectual Property Rights
Glasshouse Rights. All rights, title and interest in and to the AI Products and Services and any improved, updated, modified or additional parts, will at all times remain the property of Glasshouse or its licensors. Nothing in these Terms gives you any right, title or interest in or to the AI Products and Services, except as expressly provided in these AI Product Terms. Glasshouse reserves all rights not expressly granted in these Terms.
Your Rights. As between you and Glasshouse, and to the extent permitted by applicable law, you own Customer Content and Glasshouse assigns to you Glasshouse's rights, if any, in the Output. You grant Glasshouse a license to use Customer Content as necessary to provide the AI Products and Services, publish and display Customer Content within the AI Products and Services, to provide support for and improve the AI Products and Services, enforce Glasshouse's or its licensors' policies, prevent fraud, comply with applicable law, and maintain the safety and security of the AI Products and Services. Due to the nature of the AI Products and Services, the Output may not be unique, and the AI Products and Services may provide the same or similar Output to other users. Our assignment above does not extend to other users' Output or third party's rights. You will need to make your own determination regarding the intellectual property rights you have in Output and its commercial usability, taking into account, among other things, your usage scenarios and the laws of the relevant jurisdiction.
Input Rights. You are responsible for your Input, including ensuring that it does not violate any applicable laws or the AI Product Terms. You represent and warrant that you own, control, or have otherwise lawfully obtained all of the rights, permissions, or consents, including, if applicable, under an appropriate privacy policy, to grant all licenses to Input required for Glasshouse and its third party AI providers to provide the AI Products and Services to you.
7. AI Search
The following additional terms apply to your use of Glasshouse AI Search:
AI Search offers you the ability to search, query, and retrieve data from Glasshouse's datasets. Customer Content that you submit or generate through AI Search, including search queries, saved results, or exported data, may be subject to the data governance policies applicable to your subscription plan.
The API Terms apply to any use or access of APIs associated with AI Search.
If you purchase an Enterprise subscription, or another subscription plan that is entitled to opt out of training, the following terms apply regardless of any conflicting terms in these AI Product Terms:
Glasshouse represents and warrants that it will not use your Customer Content to train its or its third party AI providers' models or to improve the AI Products and Services.
8. Glasshouse API
The following additional terms apply to your use of the Glasshouse API:
The Glasshouse API enables you to programmatically access Glasshouse's data services, including company search, entity resolution, risk scoring, and graph analysis. Any Customer Content provided to or received from the API is subject to the terms and conditions of your subscription plan. Your access to and use of Non-Glasshouse Services through the API must comply with the terms of any applicable third-party data provider as disclosed or made available within the Services or the Notices and License Information ("NLI"), each of which are incorporated by reference.
Glasshouse may make beta or preview API endpoints available for use for a limited time. All beta endpoints are released as a Beta Feature according to these Terms. Use of beta endpoints is subject to the following additional terms regardless of any conflicting terms in these AI Product Terms:
You assume all risk for your use of and interactions with beta API endpoints. The protections for Customer Content in the Terms do not apply to beta endpoints. Customer acknowledges that beta endpoints may not be suitable for production use. Glasshouse may modify, deprecate, or remove beta endpoints at any time without prior notice.
9. Indemnity; Limitation of Liability
To the maximum extent permitted by applicable law, you agree to indemnify and hold Glasshouse, its affiliates, officers, directors, employees, agents, and licensors harmless from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the AI Products and Services, your violation of these AI Product Terms, or your infringement or violation of any third party's rights. Glasshouse's total aggregate liability under these AI Product Terms shall not exceed the amounts paid by you to Glasshouse during the twelve (12) months preceding the event giving rise to the claim.
10. Fees
Your use of the AI Products and Services may be subject to usage-based fees as described in your subscription plan or as otherwise agreed between you and Glasshouse. Glasshouse reserves the right to modify its pricing at any time, provided that any changes to fees applicable to your current subscription term will take effect at the beginning of the next renewal period. You are responsible for all charges incurred under your account.
11. Term and Termination
These AI Product Terms commence on the Effective Date and continue until terminated. Either party may terminate these AI Product Terms upon thirty (30) days' written notice to the other party. Glasshouse may immediately suspend or terminate your access to the AI Products and Services if you breach these AI Product Terms or the Terms. Upon termination, your right to access and use the AI Products and Services will immediately cease. Sections that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers of warranty, limitations of liability, and indemnification obligations.
12. Trade Controls
You acknowledge that the AI Products and Services may be subject to export control and sanctions laws and regulations. You agree to comply with all applicable trade control laws and regulations, including without limitation, the UK Export Control Act 2002, EU dual-use regulations, and US Export Administration Regulations. You represent and warrant that you are not located in, or a national or resident of, any country subject to comprehensive sanctions, and that you are not listed on any applicable restricted or denied party list.
13. Beta Features
Glasshouse may make certain features of the AI Products and Services available as "beta," "preview," "early access," or similar designations. Beta Features are provided "as is" and "as available" without any warranties of any kind. Glasshouse may discontinue Beta Features at any time without notice. You acknowledge that Beta Features may contain bugs, errors, or other issues, and your use of Beta Features is at your sole risk. Any feedback you provide regarding Beta Features may be used by Glasshouse without restriction or obligation.
14. Non-Glasshouse Services
The AI Products and Services may integrate with or rely upon Non-Glasshouse Services. Your use of Non-Glasshouse Services is subject to the applicable third-party terms and conditions. Glasshouse does not endorse, guarantee, or assume responsibility for any Non-Glasshouse Services. Any interactions, transactions, or disputes between you and a third-party provider are solely between you and such provider. Glasshouse shall not be liable for any loss or damage arising from your use of Non-Glasshouse Services.
15. Miscellaneous
These AI Product Terms, together with the Terms, constitute the entire agreement between you and Glasshouse regarding the AI Products and Services and supersede all prior agreements and understandings. If any provision of these AI Product Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Glasshouse's failure to enforce any right or provision of these AI Product Terms shall not constitute a waiver of such right or provision. These AI Product Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. Any disputes arising under these AI Product Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
