Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Glasshouse Ltd., a company incorporated in England and Wales ("Glasshouse," "we," "us," or "our"), governing your access to and use of the Glasshouse platform, including our website at glasshouse.sh, APIs, command-line tools, and all related services (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.

1. Acceptance of Terms

1.1.

By creating an account, accessing, or using the Services in any manner, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, and any additional terms referenced herein (collectively, the "Agreement"). The Agreement constitutes the entire agreement between you and Glasshouse regarding the Services and supersedes all prior agreements, representations, and understandings.

1.2.

If you are using the Services on behalf of an organisation, you represent and warrant that you are authorised to accept these Terms on behalf of that organisation and that the organisation agrees to be bound by these Terms.

1.3.

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement.

2. Account Registration

2.1.

To access certain features of the Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information, and to update such information as necessary to keep it accurate, current, and complete.

2.2.

You are responsible for safeguarding the credentials used to access your account and for all activities that occur under your account. You must immediately notify Glasshouse at security@glasshouse.sh if you become aware of any unauthorised use of your account or any other breach of security.

2.3.

Glasshouse reserves the right to suspend or terminate accounts that are inactive for an extended period or that violate these Terms. We will make reasonable efforts to notify you before any such suspension or termination, unless prohibited by law or where immediate action is necessary to prevent harm.

2.4.

If you are using the Services under an organisational account, your organisation's administrator may have the ability to access, control, and manage your account, including the data within it. You acknowledge and consent to such administrative access.

3. Use of Services

3.1.

Subject to your compliance with these Terms, Glasshouse grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your lawful internal business purposes. This licence does not include the right to sublicence, resell, or redistribute the Services or any data obtained through the Services.

3.2.

The Services provide corporate intelligence capabilities including, but not limited to, entity search and resolution, corporate structure analysis, beneficial ownership mapping, risk scoring, graph-based relationship analysis, and access to publicly available registry data such as Companies House filings. You acknowledge that the data provided through the Services is derived from public and licensed third-party sources and may not be exhaustive or fully current at all times.

3.3.

Your use of the Services must comply with all applicable laws and regulations, including but not limited to the UK Data Protection Act 2018, the UK General Data Protection Regulation (UK GDPR), anti-money laundering legislation, and any applicable sanctions regimes. You are solely responsible for ensuring that your use of the Services and the data obtained through them is lawful in your jurisdiction.

3.4.

Your use of the Services is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference. Any violation of the Acceptable Use Policy constitutes a material breach of these Terms.

4. User Content

4.1.

"User Content" means any data, queries, search configurations, saved reports, annotations, labels, or other materials that you submit, upload, or otherwise make available through the Services. You retain all ownership rights in your User Content.

4.2.

By submitting User Content, you grant Glasshouse a worldwide, non-exclusive, royalty-free licence to use, process, store, and display your User Content solely as necessary to provide, maintain, and improve the Services, and to comply with applicable law. This licence terminates when you delete your User Content or your account, subject to any applicable data retention obligations.

4.3.

You represent and warrant that you have all necessary rights to submit User Content and that your User Content does not infringe, misappropriate, or violate any third party's rights, including intellectual property rights and rights of privacy.

4.4.

Glasshouse does not claim ownership of any User Content. However, data derived from publicly available sources, third-party data providers, or Glasshouse's own datasets that is surfaced through the Services remains the property of Glasshouse or the applicable data provider and is licensed to you only for use in accordance with these Terms and your subscription plan.

5. Intellectual Property

5.1.

The Services, including all software, algorithms, machine learning models, user interfaces, designs, documentation, and other materials (excluding User Content), are and shall remain the exclusive property of Glasshouse and its licensors. All rights not expressly granted herein are reserved by Glasshouse.

5.2.

The Glasshouse name, logo, and all related trademarks, service marks, and trade names are the property of Glasshouse. You may not use any Glasshouse trademarks without our prior written consent. Nothing in these Terms grants you any right to use Glasshouse's trademarks, trade names, logos, or other brand features.

5.3.

You may not (a) reverse engineer, decompile, or disassemble the Services; (b) modify, create derivative works of, or translate the Services; (c) remove or alter any proprietary notices, labels, or marks on the Services; or (d) use the Services to build a competitive product or service, or copy any features or functions of the Services.

5.4.

If you provide feedback, suggestions, or recommendations regarding the Services ("Feedback"), you grant Glasshouse a perpetual, irrevocable, worldwide, royalty-free licence to use, incorporate, and commercialise such Feedback without restriction or obligation to you.

6. Privacy

6.1.

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, store, and disclose personal data. By using the Services, you acknowledge that you have read and understood our Privacy Policy.

6.2.

Where you process personal data using the Services, you are the data controller and Glasshouse acts as the data processor. The terms of our Data Processing Agreement shall apply to such processing.

6.3.

You acknowledge that the Services may surface personal data from publicly available sources, including corporate registries and public filings. You are responsible for ensuring that your use of such data complies with all applicable data protection laws and regulations.

7. Fees and Payment

7.1.

Certain features of the Services require a paid subscription. Fees are set out on our pricing page and in your order form or subscription agreement. All fees are quoted in British Pounds Sterling (GBP) unless otherwise stated, and are exclusive of VAT and any other applicable taxes.

7.2.

Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. Usage-based charges, including API call overages, are billed in arrears. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

7.3.

If you fail to make any payment when due, Glasshouse may (a) charge interest on the overdue amount at a rate of 4% per annum above the Bank of England base rate; (b) suspend your access to the Services until payment is received; or (c) terminate your account in accordance with Section 8.

7.4.

Glasshouse reserves the right to modify its pricing upon thirty (30) days' prior written notice. Any price changes will take effect at the beginning of your next subscription renewal period.

8. Termination

8.1.

You may terminate your account at any time by contacting us at support@glasshouse.sh or through the account settings in the Services. Termination of your account will take effect at the end of your current billing period.

8.2.

Glasshouse may suspend or terminate your account and access to the Services immediately, without prior notice, if: (a) you breach any provision of these Terms; (b) you fail to pay any fees when due; (c) your use of the Services poses a security risk or may adversely impact the Services or other users; (d) your account has been flagged for fraudulent or illegal activity; or (e) Glasshouse is required to do so by law.

8.3.

Upon termination, your right to access and use the Services immediately ceases. Glasshouse will delete your User Content within ninety (90) days of termination, unless retention is required by law or for legitimate business purposes. You may request an export of your User Content prior to termination.

8.4.

Sections 4, 5, 6, 9, 10, 11, and 12 of these Terms shall survive any termination or expiration of these Terms.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. GLASSHOUSE AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GLASSHOUSE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

GLASSHOUSE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY DATA PROVIDED THROUGH THE SERVICES, INCLUDING DATA DERIVED FROM COMPANIES HOUSE, PUBLIC REGISTRIES, OR OTHER THIRD-PARTY SOURCES. SUCH DATA IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR ANY LEGAL, FINANCIAL, OR COMPLIANCE DECISION. YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY DATA OBTAINED THROUGH THE SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLASSHOUSE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF GLASSHOUSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GLASSHOUSE'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO GLASSHOUSE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (100 GBP). NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY ENGLISH LAW.

11. Indemnification

11.1.

You agree to indemnify, defend, and hold harmless Glasshouse, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your infringement or violation of any third party's rights.

11.2.

Glasshouse will promptly notify you of any claim subject to indemnification and will provide you with reasonable cooperation in the defence of such claim, at your expense. Glasshouse reserves the right to assume exclusive control of the defence of any claim for which you are required to indemnify us.

12. Governing Law

12.1.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

12.2.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12.3.

Notwithstanding the foregoing, Glasshouse may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of Glasshouse's intellectual property rights or confidential information.

13. Changes to Terms

13.1.

Glasshouse reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date at the top of this page. Where required by applicable law, we will provide you with at least thirty (30) days' prior notice of material changes via email or through the Services.

13.2.

Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services and terminate your account.

13.3.

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
